Coach-Halo Coach Terms of Service

Coach Terms only. Evolves (does not silently replace without notice) protections from existing JH production Terms at job-halo.com/terms. Material changes include subscription pricing ($35/mo, $300/yr), zero-commission lead-gen framing, and Stories/AI license language. Existing coaches may need notice/acceptance. Internal architecture notes live with the product team.

These Coach Terms of Service (“Coach Terms”) are a commercial agreement between you (the participating coach) and JH People Insights LLC d/b/a Coach-Halo (“Coach-Halo,” “we,” “us”). They govern coaches who pay to participate in Coach-Halo lead-generation, advertising, directory/profile, matching, outreach, and related services.

Ordinary Coach-Halo Stories subscribers and website visitors are governed by the separate consumer Terms of Use, not these Coach Terms.

1. Acceptance

By creating a coach account, purchasing a Coach-Halo subscription, onboarding, or continuing to participate after notice of these Coach Terms, you agree to these Coach Terms, the Privacy Policy, and the Disclaimer where applicable. If you do not agree, do not participate.

Existing coaches — FLAG: Material updates (including new subscription pricing vs prior directory pricing language in older JH Terms) may require notice and/or affirmative acceptance before treating existing coaches as bound to this document. Do not silently replace production checkout Terms without counsel + coach communication.

2. Subscriptions, billing, and Stripe

Subscriptions automatically renew until canceled. You may cancel anytime and retain access through the end of your already-paid billing period. Payments are processed through Stripe; you can manage billing and cancellation through your Coach-Halo account/billing tools (e.g., Outseta-linked account functionality).

Refunds. Payments are non-refundable except where required by applicable law or where Coach-Halo expressly chooses otherwise.

Catalog FLAG: Older production Terms referenced a US $99.99 Coach-Halo directory listing SKU. Align live products, checkout copy, and these Coach Terms so only current offers are sold.

3. Coach-Halo’s role

Coach-Halo provides participation services that may include lead generation, advertising, directory/profile presence, lead matching, outreach, personalized outreach, Thumbtack outreach where applicable, other lead-generation-channel outreach, follow-up with leads, consultation coordination, and introductions.

After an introduction, you are responsible for deciding whether to accept the lead; selling your service; determining pricing; collecting payment; delivering coaching; client agreements; scheduling; refunds/cancellations with your clients; professional conduct; and client outcomes. Coach-Halo is not a party to the resulting coach–client service relationship unless expressly stated otherwise.

4. Zero commission

Coach-Halo takes zero commission from coaching services you sell to clients. Coach-Halo earns money from your flat subscription fee. You independently sell your own services to leads.

5. No guarantee of leads or results

Coach-Halo does not guarantee any minimum number of leads, inquiries, consultations, appointments, clients, sales, revenue, or business results.

Subscription fees purchase participation in Coach-Halo’s services. They do not purchase a guaranteed quantity of leads.

Lead volume can vary substantially. You may receive many leads during one period and few or no leads during another. Volume can be affected by seasonality, demand, specialty, geography, competition, advertising performance, consumer behavior, coach availability, pricing, economic conditions, third-party platforms, and other factors outside Coach-Halo’s control.

Coach-Halo also does not guarantee that a lead will respond, attend, purchase, or be a perfect fit; that a consultation will convert; or that a resulting client will remain with you.

6. Coach independence

You are an independent business. You are not an employee, partner, agent, or representative of JH People Insights LLC. You control your services, methodology, prices, availability, client relationships, sales process, and coaching delivery.

7. Credentials and claims

You are solely responsible for accurately representing your credentials, certifications, licenses, experience, specialties, qualifications, testimonials, and professional claims. Coach-Halo does not independently verify every credential unless it expressly states that it does so.

8. Lead information and introductions

Lead/subscriber information is shared with you as reasonably necessary to facilitate a connection after the person requests a connection (or otherwise clearly authorizes introduction under the then-current product flow). You must use lead information only for legitimate coaching outreach related to the introduction, keep it confidential as appropriate, and not misuse it for unrelated marketing, resale, harassment, or spam.

9. AI, Stories, and license to submitted materials

You authorize Coach-Halo to use information you voluntarily submit during onboarding and participation—including ideal client, methodology, program, approach, specialties, profile information, biography, services, and other materials—for purposes including lead matching, personalized outreach, lead follow-up, advertising, promoting your services, Coach-Halo Stories, educational content, and AI-assisted content or perspectives informed by your coaching approach.

You retain ownership of your underlying intellectual property and methodology. You grant Coach-Halo a limited, worldwide, non-exclusive license to use submitted materials to operate and promote Coach-Halo and your participation in it.

Coach-Halo will not represent AI-generated words as direct quotes personally made by you unless you actually wrote, reviewed, or approved those words. Where appropriate, Coach-Halo may use wording such as: “Perspective informed by [Coach Name]’s coaching approach.”

Coach-Halo does not guarantee uninterrupted or error-free platform availability. Features, channels, and matching capacity may change.

12. Suspension and termination

Coach-Halo may suspend or terminate participation for breach of these Coach Terms, misuse of leads, harmful conduct, non-payment, or as reasonably necessary to protect the platform, users, or Coach-Halo. You may cancel your subscription as described in Section 2. Provisions that by nature should survive (including liability, indemnity, IP license for already-used materials, and dispute provisions) survive termination.

13. Assumption of business risk

You acknowledge that coaching and lead-generation businesses involve uncertainty. You assume the business risks of participation, including variable lead volume and conversion, subject to these Coach Terms and applicable law.

14. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COACH-HALO SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, COACH-HALO DOES NOT WARRANT ANY PARTICULAR LEAD VOLUME OR BUSINESS RESULT.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JH PEOPLE INSIGHTS LLC, COACH-HALO, AND THEIR OWNERS, MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST BUSINESS, LOST GOODWILL, OR LOST DATA, ARISING OUT OF OR RELATING TO THESE COACH TERMS OR YOUR PARTICIPATION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE COACH TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE COACH-HALO SUBSCRIPTION GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations; liability is limited to the maximum extent permitted by law. Nothing in these Coach Terms attempts to waive liability that cannot legally be waived.

16. Release (coach–client and third-party disputes)

To the maximum extent permitted by applicable law, you release JH People Insights LLC, Coach-Halo, and their owners, members, officers, employees, contractors, representatives, and affiliates from claims arising out of disputes between you and your clients or leads, except to the extent caused by Coach-Halo’s willful misconduct as determined by a final non-appealable decision of a competent tribunal (or as otherwise required by law).

17. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless JH People Insights LLC, Coach-Halo, and their owners, members, officers, employees, contractors, representatives, and affiliates from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your coaching services or client relationships; (b) your marketing claims or credentials; (c) your misuse of lead information; (d) your violation of these Coach Terms or law; or (e) disputes with clients, leads, or other third parties.

18. Third-party services

Coach-Halo may use or interact with third-party services (including Stripe, Outseta, Airtable, Thumbtack, email providers, and hosting). Coach-Halo is not responsible for third-party outages or independent terms of those providers, except as required by law.

19. Dispute resolution (preserved from existing JH Terms)

Preserved / not newly invented: Existing production JH People Insights LLC Terms (job-halo.com/terms, effective April 21, 2026) include binding AAA arbitration, class-action waiver, California governing law, informal pre-arbitration resolution, and a 30-day opt-out. Those protections are restated below so Coach Terms do not silently drop existing commercial dispute architecture. Counsel should confirm final Coach-Halo-only venue/configuration before production publication if any element must change.

Informal resolution. Before initiating arbitration, contact hello@coach-halo.com and attempt informal resolution for at least fourteen (14) days after we receive notice.

Agreement to arbitrate. Except for claims that qualify for small claims court or injunctive relief to protect intellectual property or confidential information, any dispute arising out of or relating to these Coach Terms or Coach-Halo participation shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its applicable Commercial or Consumer Rules as modified by this agreement. The Federal Arbitration Act governs this arbitration agreement.

Class action waiver. YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

Opt-out. You may opt out of arbitration by sending written notice to hello@coach-halo.com within thirty (30) days of first accepting these Coach Terms, stating your name and intent to opt out.

Governing law. These Coach Terms are governed by the laws of the State of California, excluding conflict-of-law rules, subject to the arbitration agreement above.

20. Changes

We may update these Coach Terms. Material changes may require additional notice and/or acceptance for existing coaches. Continued participation after an effective update constitutes acceptance where permitted by law and by the notice process we use.
